Setting Up a Company in Spain
Creating a Spanish company will allow you to conduct your business in Spain.
There are several types of companies to choose from, but the most popular type of company is an S.L. (Sociedad de Responsabilidad Limitada) which is the equivalent of Uk Limited Company.
And S.L. Company requires a minimum of three directors, and there is no special requirement about residence nor nationality. There is however an obligation to file the company’s yearly accounts with the tax office and with the Spanish Companies House (Registro Mercantil). The minimum capital is 3,006.00 euros.
If your company is larger you have to option to become an S.A. company (Sociedad Anónima). Its equivalent in UK would be a PLC (Public Limited Company). The minimum capital is 60.000,00 euros, of which 25% has to be paid in cash.
A minimum of three directors are required for both types of companies, but there is a maximum of twelve directors in S.L. companies.
I will guide the directors from my office in East Sussex through the process of setting up a company in Spain, and I will do all necessary to register the company with the Spanish Companies House, including obtaining the company’s name, the directors’ and the company’s tax numbers, the companies articles and Memorandum of incorporation, and attendance for completion and signing of notarial deeds.
